Das Buch verbindet die Vorteile eines Vertragsmusterhandbuchs mit denen eines systematischen Lizenzkommentars und bezieht sowohl das deutsche als auch das EG-Lizenzrecht in seiner ganzen Breite ein. Das Werk ist zweisprachig (deutsch/englisch). Für den Praktiker bietet sich damit eine erhebliche Erleichterung im internationalen Lizenzverkehr. Zum einen bekommt er mehr Sicherheit in der Formulierung zweisprachiger Vertragsmuster und zum anderen findet er in den ebenfalls zweisprachigen Erläuterungen zu allen Lizenzproblemcn des deutschen und des EG-Rechts weiterführende Hinweise und Lösungen.
Die Muster für Patentverwertung wurden durch zwei Softwarelizenz- bzw. Verwertungsverträge ergänzt. Neu eingearbeitet wurden die auf Grund der Änderung des EG-Vertrages geänderte Nummerierung der Wettbewerbsvorschriften, die neue Verordnung Nr. 2659/2000 (Freistellung für FuE) sowie die Änderungen im deutschen Recht (GWB, MarkenG, Schiedsvertragsrecht in der ZPO, Schuldrecht des BGB, Insolvenzrecht, Patentkostengesetz, Patentanmeldeverordnung). Neu aufgenommen wurden in den Übersichtslisten in Bezug auf Freistellungszeiträume Checklisten zu Freistellungssituationen.

Experience shows that the best license contract is the one under which both parties are happy with the negotiated provisions. The best prerequisite for this is the clearest possible definition of the contractual terms as well as thorough knowledge of legal possibilities on both sides of the negotiating table. Thus both parties can profit from passing on this know-how.
Sample contracts can rarely be immediately used as such. Although all sample contracts included here are based on practical cases, the facts and interests of the parties will seldom be in agreement with all the provisions of a sample contract right away. In addition, and in particular in the case of patent license contract law, one has to warn against the taking over of contract provisions, if their legal consequences and significance are not known to the user, since provisions may not always be permissible under antitrust law. Therefore the comments provide particular explanations as to which clauses can be judged admissible without an exemption by the European or perhaps German or German antitrust authorities. The sample contracts, therefore, should never be used without considering the comments.
The patent licensing forms have been supplemented by two software agreements which have been authored by my partner Dr. Bernhard Geissler. In spite of the legally different sources of software law, the bridge is, on the one hand, the fact that a "technical intellectual property right" in the broader sense is also involved. On the other hand, the copyright licensing frequently also involves a transfer of secret know-how (disclosure of the source code), so that rules similar to those of a mixed patent/know-how-license agreement apply.
Since the last edition the competition rules of the EC Treaty have been re-numbered: Art. 30, 36 have become Arts. 28, 30, Arts. 85, 86 are now Arts. 81, 82. Also, the former Exemption Regulation for Research and Development (Nr.418/85) has expired and has been replaced by Reg. 2659/2000 which will start a totally new exemption practice. Also a number of revised German laws had to be taken into account: the new Antitrust Statute (GWB), the new Trademark Act, the modernized arbitration rules in the Code of Civil Procedure, the new German contract law of the Civil Code, and finally the revised Bankruptcy Act. Also the German Patent Application Rules and the Patent Fees Statute have been included.
Four samples still contained in the last edition have been removed, since they concerned purely German practice like a warning letter in case of advertisement with patent claim, a declaration of license of right, a request of for a registration of an exclusive license and a patent assignment and registration form. With more emphasis on European licensing law these form have been regarded to be less important.
A new feature has been added after the check lists for the exemption periods under Appendix 1 A, namely under Appendix 1 B check lists with particularities of the most common contract dauses and contract situations in licensing agreements and their classification in the Exemption Regulation for Technology Transfer Agreements (n° 240/96). These tables allow a quick reference and evaluation with respect to most of the clauses dealt within the Regulation.
